Terms of Service

Terms governing the Certanexa controlled-launch service and website.

The wider Certanexa roadmap contains unreleased modules. Current availability, limits, support, deletion, data handling, subprocessors and known issues are published on the Customer Trust & Data Processing page.

1. Acceptance and version

By creating an account, continuing with an OAuth provider, or otherwise using Certanexa, you agree to these Terms of Service and the Privacy Policy.

The controlled-launch consent identifier recorded by the account system is terms-2026-07-10. This page was operationally reviewed on August 14, 2026; review clarifications do not create a different recorded consent identifier unless Certanexa explicitly publishes a replacement version.

2. Controlled-launch service

Certanexa provides a controlled-launch financial reconciliation workspace. The released customer scope is intentionally narrower than the wider codebase and roadmap.

The launch promise is a single-user, same-currency, two-way reconciliation workflow using supported CSV/XLSX files, deterministic mapping, exception review, reconciliation history, core evidence reports, account security, billing and support surfaces.

PowerBot/AI, OCR/PDF intake, ERP integrations, team access, approvals, compliance modules, cross-currency reconciliation, forecasting, advanced analytics and enterprise workflow modules are not part of the controlled-launch customer entitlement unless Certanexa later releases them explicitly.

3. Supported limits

Use of the service is subject to the current supported operating envelope published on the Customer Trust & Data Processing page. A successful attempt outside a published ceiling does not convert that workload into a supported or certified capability.

The published ceilings are support boundaries, not performance, throughput, scale or accuracy guarantees.

4. Acceptable use

You may use Certanexa only for lawful purposes and only with data you are authorized to process.

You must not attempt unauthorized access, defeat authentication or tenant boundaries, interfere with service security, introduce malicious content, misuse another customer's data, or represent a hidden/internal product surface as a released entitlement.

5. Financial data and professional judgment

Certanexa assists with reconciliation and review; it does not provide accounting, audit, legal, tax or investment advice.

You remain responsible for validating source data, reviewing matches and exceptions, approving final accounting treatment and deciding what evidence is appropriate for your records or audit process.

No reconciliation result, exception label, future AI output or product-generated evidence is a substitute for qualified professional judgment.

6. Data and account responsibility

You retain ownership of the data you provide. Certanexa may process account, workspace, billing and service data only as needed to provide, secure and operate the service as described in the Privacy Policy and Customer Trust & Data Processing page.

Some controlled-launch reconciliation data is stored in the browser. You are responsible for using a supported browser profile, protecting the device and retaining any external copy required by your own record-keeping policy.

7. Availability and changes

Controlled-launch functionality may change as security, correctness and release gates are completed. Certanexa may hide, restrict or remove a capability when its release authority is not satisfied.

We do not guarantee uninterrupted or error-free availability. Known limitations and current workarounds are published on the Customer Trust & Data Processing page where practical.

8. Billing, cancellation and refunds

Paid activation requires confirmation from the configured billing provider; pricing intent in a signup URL or account field does not grant paid access by itself.

A subscription may be cancelled to stop future renewal. Unless a signed agreement or applicable law provides otherwise, cancellation normally takes effect at the end of the already-paid billing period and does not automatically create a prorated refund.

Duplicate, unauthorized or provider-error charges should be reported promptly to support@certanexa.com. Applicable law, payment-network rules and signed customer agreements take precedence over the general controlled-launch refund policy.

9. Intellectual property

Certanexa's software, service design, branding and original content remain the property of their respective owners and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of your uploaded financial data to Certanexa.

10. Disclaimers and liability

The controlled-launch service is provided on an as-available basis. To the maximum extent permitted by applicable law, Certanexa disclaims implied warranties that are not expressly stated in a signed agreement.

Nothing on the website is a guarantee of fraud detection, perfect reconciliation, future performance, legal compliance, audit certification, unlimited scale or autonomous financial decision-making.

Mandatory rights and liability that cannot legally be excluded or limited remain unaffected.

11. Changes to these Terms

Material changes that require a new acceptance version will be published with a new version identifier and handled through the governed consent process. Non-material clarifications may be reviewed without silently changing the account's recorded acceptance history.
